These Terms & Conditions (“Terms”) govern your use of this website and all trade transactions with Westford Tradelink Private Limited (“Westford Tradelink”, “we”, “us” or “our”), a company incorporated in India with its registered office at New Delhi, Delhi – 110087, India. By using this website, requesting a quotation or placing an order, you agree to these Terms.

1. Use of This Website

This website provides general information about our business and services. You may use it only for lawful purposes. You must not try to gain unauthorised access to it, disrupt it, or use its content for commercial purposes without our written permission.

2. Quotations

Quotations are valid for the period stated in them or, if none is stated, for 7 days. They are subject to stock availability and to changes in duties, taxes, exchange rates and freight costs. A quotation is not a binding offer until we confirm an order in writing.

3. Orders

Orders may be placed by purchase order, email or other written communication. A contract is formed only when we issue a written order confirmation or proforma invoice. We may decline any order at our discretion.

4. Pricing and Taxes

Unless agreed otherwise, prices are in Indian Rupees, exclude GST and other applicable taxes, duties and levies, and are ex-warehouse. Prices for import or export transactions may be quoted in foreign currency under the agreed Incoterms.

5. Payment Terms

  • Payment is due as stated in the order confirmation or invoice. Unless agreed otherwise, orders require full advance payment.
  • Payments must be made by bank transfer, RTGS/NEFT, UPI or other approved methods to our official bank account only. We are not responsible for payments made to any other account.
  • Overdue amounts may attract interest at 18% per annum, and we may suspend further supplies until they are paid.

6. Delivery, Title and Risk

Delivery is governed by our Shipping & Delivery Policy and the agreed terms of each order. Delivery dates are estimates. Risk passes to the buyer on handover to the buyer or its nominated carrier. Title passes only on receipt of full payment.

7. Inspection and Claims

Buyers must inspect goods on delivery. Claims for shortage, damage or non-conformity must be made in writing within the period set out in our Returns & Cancellation Policy, with supporting photographs and documents. Goods accepted without a timely claim are treated as accepted.

8. Import and Export

For cross-border transactions, each party is responsible for complying with applicable customs, foreign-trade, foreign-exchange (FEMA) and sanctions laws. Unless agreed otherwise, the buyer is responsible for import licences, duties and clearance at destination.

9. Distribution, Agency and Brokerage

Where we act as distributor, stockist, agent or broker, the relationship is governed by a separate written agreement. Nothing on this website creates an agency, partnership or exclusive arrangement.

10. Warranties

Goods are supplied with the manufacturer's warranty, if any. To the extent permitted by law, we give no other warranties, express or implied, including fitness for a particular purpose.

11. Limitation of Liability

To the extent permitted by law, we are not liable for indirect or consequential losses, including loss of profit, business or goodwill. Our total liability for any order will not exceed the invoice value of the goods concerned. Nothing in these Terms limits rights that cannot be excluded under the Consumer Protection Act, 2019.

12. Force Majeure

We are not liable for delay or failure to perform caused by events beyond our reasonable control, including natural disasters, epidemics, war, strikes, port or transport disruption, government restrictions, or supplier failure.

13. Confidentiality

Each party will keep confidential any pricing, commercial terms and business information received from the other, except where disclosure is required by law.

14. Intellectual Property

All content on this website, including text, logos and design, belongs to Westford Tradelink or its licensors. Third-party brand names and trademarks belong to their respective owners.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. The parties will first try to settle disputes through good-faith negotiation. Any unresolved dispute will be subject to the exclusive jurisdiction of the courts at New Delhi.
